These Terms and Conditions ("Agreement") govern the access and use of the SolarMatrix CRM software ("Software") provided by ScriptMatrix Web Services ("we", "us", "our"). By using the Software, you ("Licensee", "User") agree to these terms.
1. License Usage
You are granted a limited, non-exclusive, non-transferable license to access and use SolarMatrix for your internal business operations, as per your subscription plan.
2. Account Responsibility
- You are responsible for maintaining the confidentiality of your login credentials.
- You are liable for all activities that occur under your account.
3. Subscription & Payment
- Fees are charged as per the selected subscription plan and billing cycle.
- Non-payment or failed transactions may result in suspension of service.
- All fees are non-refundable unless otherwise agreed in writing.
4. Prohibited Use
You agree not to:
- Use the Software for unlawful or unauthorized purposes.
- Attempt to reverse engineer, decompile, or exploit the system.
- Infringe upon our intellectual property or remove proprietary notices.
5. Intellectual Property
All content, features, and functionality of the Software remain the exclusive property of ScriptMatrix Web Services. This includes all copyrights, trademarks, and trade secrets.
6. Data Ownership
All data entered by the user remains their property. We do not claim ownership over client data and will only access it for support or maintenance when explicitly authorized.
7. Service Availability
We aim to provide 99.9% uptime. However, temporary outages may occur due to maintenance, upgrades, or external disruptions. We are not liable for losses arising from such downtimes.
8. Termination
We reserve the right to terminate access to the Software for violations of this Agreement. Upon termination, all data may be permanently deleted after a retention period of 30 days.
9. Limitation of Liability
We shall not be liable for any indirect, incidental, or consequential damages, including data loss or business interruption, arising from the use or inability to use the Software.
10. Modifications to Terms
We reserve the right to update or modify these terms at any time. Continued use of the Software after changes are posted implies acceptance of the revised terms.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the jurisdiction of the courts located in Vadodara, Gujarat.
