This Software License Agreement ("Agreement") governs the use of the SolarMatrix software ("Software") developed and provided by ScriptMatrix Web Services.
1. Grant of License
Subject to the terms of this Agreement, ScriptMatrix Web Services grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the Software solely for internal business purposes.
2. Restrictions
- Copy, modify, or create derivative works of the Software except as expressly permitted in writing.
- Distribute, sublicense, lease, rent, or sell the Software to any third party.
- Reverse engineer, decompile, or disassemble the Software or attempt to derive its source code.
- Use the Software for purposes of building a competitive product or service.
3. Ownership
The Software and all intellectual property rights therein are and shall remain the sole property of ScriptMatrix Web Services. This Agreement does not grant the Licensee any ownership rights in the Software.
4. Confidentiality
The Licensee agrees to treat the Software and any documentation or related materials as confidential and to not disclose it to any third party without prior written consent.
5. Support & Updates
Support and software updates (if any) will be provided as per the terms of a separate service agreement or subscription plan.
6. Termination
This Agreement is effective until terminated. ScriptMatrix Web Services may terminate this Agreement if the Licensee breaches any term. Upon termination, the Licensee must immediately cease all use of the Software and destroy all copies.
7. Disclaimer of Warranty
The Software is provided "as is", without warranty of any kind, express or implied. ScriptMatrix Web Services makes no guarantees regarding functionality, fitness for a particular purpose, or error-free operation.
8. Limitation of Liability
In no event shall ScriptMatrix Web Services be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of or in connection with the use or performance of the Software.
You Can:
- Use SolarMatrix internally for your business operations (as per your subscription plan).
- Customize basic settings or modules (if allowed in your package).
You Cannot:
- Resell, redistribute, or sublicense SolarMatrix.
- Host SolarMatrix for third parties or offer it as a service.
- Remove branding or copyright notices without written permission.
